Introduction
These Terms and Conditions (T&C) govern the access and use of the web platform 'nexhrm.com' operated by Veritas Global Technologies Limited. By executing NexHRM’s Service Agreement or using the nexhrm.com platform, the Subscriber agrees to be bound by these T&C.
Definitions
Rights Granted
- For the duration of the Service Period and subject to fee payment, the Subscriber is granted a non-exclusive, non-assignable right to access and use the nexhrm.com platform for internal business operations.
- The Subscriber may permit Authorised Users to access the platform, with the Subscriber responsible for their compliance with these T&C.
- The Subscriber agrees to use the Service in compliance with applicable laws in Nigeria.
Ownership and Restrictions
The Subscriber retains ownership of all Subscriber’s Content uploaded to the platform. NexHRM retains ownership of the Software and Ancillary Programs.
The Subscriber shall not: reverse engineer, decompile, or modify the Software; access or use the Service except through Authorised Users; rent, lease, loan, or sell access to the Software without consent; use the Software to create derivative services or compete with NexHRM; introduce automated agents or scripts to the Software; or commercialize or grant access to third parties without written consent.
Intellectual Property Rights
- NexHRM retains all intellectual property rights in the Software, including copyrights, trademarks, and patents.
- The Subscriber retains all rights to their data uploaded on the Software.
Term/Termination
- The Agreement and T&C remain effective as long as the Subscriber maintains an active subscription.
- The Subscription begins upon setup and provision of login details and continues for the duration stated in the Agreement.
- If implementation is delayed due to Subscriber’s inaction, NexHRM will notify the Subscriber, and the Subscription Period will commence after the notice period.
- Subscriptions renew automatically for one year unless canceled 24 hours prior to expiration by notice to support@nexhrm.com.
- NexHRM reserves the right to terminate access if the Subscriber fails to pay fees within 30 days of the due date.
- The Subscriber may terminate the Agreement if NexHRM breaches these T&C and fails to remedy the breach within 14 days of notice.
- Upon termination, the Subscriber loses access to the Software but may retrieve their content within 30 days of termination.
- NexHRM is not liable for access failures caused by factors outside its control, including internet issues or power supply.
Payment Terms
- The Subscriber shall pay the Subscription Fee as per the initial invoice.
- NexHRM may review the Subscription Fee for subsequent periods, providing a 3-month notice prior to implementation.
- Payments via credit card will be automatically charged at term end unless canceled beforehand.
- The Subscriber is responsible for any applicable taxes, including Value Added Tax.
Support
- NexHRM provides support for Service availability at no additional charge.
- Support is available weekdays from 9:00 a.m. to 5:00 p.m. WAT, via various channels.
- NexHRM may install necessary updates to the Software to ensure proper operation.
- Up to two designated representatives from the Subscriber can contact NexHRM for support.
- NexHRM will provide onboarding training subject to fee payment.
- Additional training may incur extra fees.
Service Response Timelines
- NexHRM will strive to meet or exceed Service Level Performance Measures.
- The Subscriber will report service issues to NexHRM through designated contact methods.
Partner Program
Subscribers may be eligible for NexHRM’s Partner Program for commissions on successful leads.
Indemnification
- NexHRM will defend the Subscriber against third-party claims of intellectual property infringement and cover associated costs.
- The Subscriber will defend NexHRM against claims related to Subscriber’s content.
- The claiming Party must notify the other Party, allow them control over the defense, and assist as necessary.
- Failure to meet these conditions may forfeit indemnification rights.
- Each Party’s liability is limited to the amount paid by the Subscriber in the previous 12 months.
Data Protection
- NexHRM will comply with applicable data protection laws.
- NexHRM will implement measures to safeguard Subscriber data.
- Each Party will notify the other of data risks or breaches immediately.
- Both Parties will comply with the Nigerian Data Protection Regulation (NDPR).
Publicity
NexHRM may display the Subscriber’s name and logo in marketing materials with prior written consent.
Compliance
Both Parties will comply with all Applicable Laws in their activities under these T&C.
Disclaimers
NexHRM does not provide legal advice and is not responsible for Subscriber’s HR practices.
Severability
Any unenforceable provision shall not affect the validity of remaining provisions.
Force Majeure
Neither Party is liable for failures due to causes beyond their control, including natural disasters or government actions.
Assignment
Neither Party may assign rights without prior written consent, except in the case of a merger or acquisition with notice to the other Party. Any unauthorized assignment will be void and without effect.
Waiver
Failure to enforce any right or provision of these T&C will not constitute a waiver of that right or provision unless agreed to in writing by the Parties.
Entire Agreement
These T&C, along with the Service Agreement, constitute the entire agreement between NexHRM and the Subscriber, superseding all prior or contemporaneous agreements or understandings, whether written or oral, related to the subject matter.
Amendments
NexHRM reserves the right to update or modify these T&C at any time. The Subscriber will be notified of significant changes, and continued use of the Service constitutes acceptance of the amended T&C.
Governing Law
These T&C shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these T&C shall be subject to the exclusive jurisdiction of the courts of Nigeria.
